SEC and New York rules for NYC funds
SEC Regulation S-P, as amended in 2024
Registered advisers need an incident response program, 30-day notice to individuals whose sensitive customer information was accessed without authorization, and service providers bound to report breaches within 72 hours. Compliance dates: December 3, 2025 at $1.5 billion or more in AUM; June 3, 2026 below that.
Exempt reporting advisers
Amended Regulation S-P covers SEC-registered advisers. An exempt reporting adviser falls outside it but may be subject to the Federal Trade Commission's privacy rules; counsel should confirm which applies.
NYDFS 23 NYCRR 500
Part 500 covers firms licensed, registered or chartered by the Department of Financial Services, which most SEC-registered managers are not. A DFS-licensed affiliate, or a DFS-regulated investor reviewing its service providers under §500.11, can still bring it in. Universal MFA took effect November 1, 2025.
NY SHIELD Act, GBL §899-aa and §899-bb
New York residents must be told of a breach of their private information within 30 days of discovery. For safeguards, §899-bb treats a business complying with Gramm-Leach-Bliley rules, which include Regulation S-P, as compliant.
